Software License Agreement

This Software License Agreement ("Agreement") is a legal agreement between you ("Licensee") and Intermatics Software Services ("Licensor") for the use of the software products offered by the Licensor ("Software"). By purchasing, downloading, or using the Software, you agree to be bound by the terms of this Agreement.

1. License Types

Intermatics Software Services offers two types of licenses: the Standard License and the Multiserver License. The type of license you choose determines the scope of your rights to use the Software.

1.1 Standard License

The Standard License grants you the following rights:

• Installation: You may install and use the Software on one (1) domain only.
• Server Deployment: The Software may be installed on a single server for your personal or business use.
• Modifications: You may modify the Software to fit your needs, but the modified Software is subject to the same terms as the original Software.
• Restrictions: You may not distribute, sublicense, or resell the Software as-is or as part of a competing product.

1.2 Multiserver License

The Multiserver License grants you the following rights:

• Installation: You may install and use the Software on up to five (5) domains.
• Server Deployment: The Software may be installed on up to five (5) servers for your personal or business use.
• Modifications: You may modify the Software to fit your needs, but the modified Software is subject to the same terms as the original Software.
• Restrictions: You may not distribute, sublicense, or resell the Software as-is or as part of a competing product.

2. Ownership and Intellectual Property

The Software is the intellectual property of Intermatics Software Services. All rights, title, and interest in and to the Software, including any modifications or enhancements made by the Licensee, are and will remain the property of the Licensor.

3. Limitations and Restrictions

Licensee agrees to the following limitations and restrictions:

• You may not use the Software to create a product that is directly competitive with the Software.

4. Termination

This License is effective until terminated. Your rights under this License will terminate automatically without notice if you fail to comply with any of the terms and conditions of this Agreement. Upon termination, you must cease all use of the Software and destroy all copies of the Software in your possession or control.

5. Disclaimer of Warranties

The Software is provided "as is" without warranty of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. The Licensor does not warrant that the Software will meet your requirements or that the operation of the Software will be uninterrupted or error-free.

6. Limitation of Liability

In no event shall the Licensor be liable for any special, incidental, indirect, or consequential damages whatsoever arising out of the use of or inability to use the Software, even if the Licensor has been advised of the possibility of such damages. In no event shall the Licensor's total liability to you for all damages exceed the amount paid by you for the Software.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising out of or related to this Agreement shall be subject to the exclusive jurisdiction of the courts of Nigeria.

8. Entire Agreement

This Agreement constitutes the entire agreement between you and Intermatics Software Services concerning the Software and supersedes any prior or contemporaneous agreements, representations, or understandings, whether written or oral.
