Terms and Conditions for Software Installation Service


This document outlines the terms and conditions for the software installation service offered by Intermatics Software Services ("we", "us", or "our") to customers ("you" or "your") who purchase our software products ("products").

By purchasing our software installation service, you agree to be bound by these terms and conditions. If you do not agree with any part of these terms and conditions, you should not purchase our software installation service.


Software Installation Service

We offer a software installation service that enables you to pay for the installation of our products on your server. The software installation service includes the following:
- Downloading the product from a location that you provide
- Uploading the product to your server
- Installing the product according to the documentation
- Testing the product to ensure it is working properly
- Providing you with a confirmation email of the installation process

The software installation service does not include the following:

- Providing or setting up a server for you
- Providing or configuring any third-party software or services that may be required for the product
- Providing any support or maintenance for the product after the installation is complete
- Fixing any errors or issues that may arise from the product or your server after the installation is complete

Requirements and Responsibilities
To purchase our software installation service, you must meet the following requirements and responsibilities:
- You must provide us with a server that meets the minimum requirements for the product as listed on the documentation for the product. You are responsible for ensuring that your server is compatible and secure for the product.
- You must have an active support subscription for the product.
- You must download the product from our website or upload it to a location that we can access, such as Google Drive. You are responsible for ensuring that the product is the correct and latest version and that it is not corrupted or modified in any way.
- You must provide us with full access to your web hosting account in order for us to be able to complete the installation. The access must include the ability to upload files, create databases, change file permissions, modify PHP settings, and any other actions that may be necessary for the installation. You are responsible for ensuring that the access is valid and secure and that it does not violate any terms of service or policies of your web hosting provider.
- You must provide us with any information or specifications that we may need to install the product. You are responsible for ensuring that the information or specifications are accurate and complete and that they do not violate any laws or regulations.
- You must pay the full amount for the software installation service before we start the installation. The payment is for one installation on one server only. We will not reinstall the product after the first installation is complete.
- You must not interfere with or modify the product or the server during or after the installation process. You are responsible for any damages or losses that may result from your interference or modification.

Refunds and Cancellations
We do not offer any refunds or cancellations for the software installation service after the payment has been completed, unless we are unable to carry out the installation due to our unavailability. In that case, we will notify you as soon as possible and issue a full refund to you.

Disclaimer and Limitation of Liability
We provide the software installation service on an "as is" and "as available" basis, without any warranties or guarantees of any kind, express or implied. We do not warrant that the software installation service will be error-free, uninterrupted, timely, secure, or meet your expectations or requirements.


We are not liable for any direct, indirect, incidental, consequential, special, or exemplary damages or losses that may arise from or in connection with the software installation service, the product, or your server, including but not limited to loss of data, loss of profits, loss of goodwill, or loss of business opportunities, even if we have been advised of the possibility of such damages or losses.

You agree to indemnify, defend, and hold us harmless from and against any and all claims, liabilities, damages, costs, and expenses, including reasonable attorney fees, that may arise from or in connection with your use of the software installation service, the product, or your server, or your breach of these terms and conditions.

Governing Law and Dispute Resolution
These terms and conditions are governed by and construed in accordance with the laws of Nigeria. Any disputes or claims arising from or in connection with these terms and conditions or the software installation service shall be subject to the exclusive jurisdiction of the courts of Nigeria.

Changes and Updates
We reserve the right to change or update these terms and conditions at any time and for any reason, without prior notice to you. The revised terms and conditions will be effective immediately upon posting on our website. Your continued use of the software installation service after the changes or updates will constitute your acceptance of the revised terms and conditions.
